By placing an order with Carr Designs, you confirm that you agree to and are legally bound by the Terms and Conditions set out below. These terms apply to all services provided by Carr Designs, including website design, updates, training, website fixes, audits, SEO services, hosting, maintenance, and consultancy.
1. Website Projects and Payment
1.1 A non refundable deposit of 50 percent of the agreed invoice is payable before work begins.
1.2 The remaining balance will be invoiced in staged payments. Two payments of 20 percent will be issued at agreed intervals during the project, and the final 10 percent will be invoiced when the website goes live.
1.3 All website files, login details, and transfer of the completed website will only be provided once all invoices have been paid in full.
1.4 If Carr Designs cancels work due to unforeseen circumstances, any deposit paid will be refunded in full.
1.5 Payment must be made by bank transfer unless otherwise agreed. Stripe payments incur a 2.9 percent transaction fee.
1.6 If payment remains outstanding for more than 21 days without written agreement, Carr Designs reserves the right to charge a late fee of 10 percent and suspend work or services until payment is received.
2. Project Process and Client Responsibilities
2.1 Where hosting or maintenance is provided by Carr Designs, the website may be built on a temporary domain and connected to the client domain when ready to go live.
2.2 The client is responsible for supplying accurate content, images, branding materials, and approvals in a timely manner.
2.3 The client must check and approve all website content and functionality before launch. Carr Designs will use reasonable care but cannot guarantee that the website will be free from spelling errors, content mistakes, or omissions.
2.4 Any changes requested after approval of designs, layouts, or documents may incur additional charges and may affect project timelines.
2.5 Project pricing includes up to three online meetings and reasonable project management time. Additional consultancy or work outside the agreed scope will be quoted separately.
3. Post Launch Support
3.1 Carr Designs will review the website approximately one month after launch to ensure it is functioning correctly and to carry out minor adjustments if required.
3.2 Any additional work including new pages, structural changes, integrations, or new functionality will be quoted separately.
4. Intellectual Property and Ownership
4.1 All designs, layouts, graphics, and source code created by Carr Designs remain the property of Carr Designs until full payment has been received.
4.2 Upon full payment, ownership of the completed website design transfers to the client, excluding third party software, plugins, themes, fonts, stock images, and licensed components, which remain subject to their own licence terms.
4.3 Carr Designs retains the right to display completed work in its portfolio, website, and marketing materials unless otherwise agreed in writing.
5. Client Content and Legal Responsibility
5.1 The client confirms that all materials supplied, including text, images, logos, and media, are owned by them or used with proper permission.
5.2 The client agrees to indemnify and hold Carr Designs harmless against any claims, losses, damages, or legal costs arising from materials supplied by the client or from the operation or use of the website.
6. Limitation of Liability
6.1 Carr Designs will provide services with reasonable skill and care.
6.2 Carr Designs shall not be liable for any indirect or consequential loss, including loss of profit, revenue, business, data, reputation, or website availability.
6.3 Carr Designs shall not be responsible for failures caused by hosting providers, domain registrars, third party software, plugin conflicts, cyber attacks, or circumstances beyond reasonable control.
6.4 The total liability of Carr Designs for any claim relating to the services shall not exceed the total fees paid by the client for the relevant project or service.
7. Monthly Maintenance Services
7.1 Maintenance may include WordPress updates, plugin updates, theme updates, backups where not provided by hosting, and routine checks of website functionality.
7.2 The client must provide secure administrator access before maintenance begins and ensure login details remain valid.
7.3 Renewal of premium plugins, themes, hosting, domains, licences, or third party subscriptions remains the responsibility of the client.
7.4 Maintenance reduces risk but does not guarantee protection against malware, hacking, downtime, or technical failure. Carr Designs cannot accept responsibility for such events.
7.5 Maintenance fees must be paid in advance seven days before each billing period. Non payment may result in suspension or cancellation of services and an administration fee to reinstate them.
7.6 Maintenance does not include SSL certificates, major repairs, redesign work, or additional consultancy unless expressly agreed.
7.7 Carr Designs reserves the right to refuse or restrict third party access to the website where this may create technical or security risks. Any corrective work required following third party interference will be chargeable.
7.8 Hosting and maintenance services are subject to a minimum term of three months. After this period, either party may terminate by giving thirty days written notice by email. Fees remain payable up to the termination date.
8. Data Protection
8.1 Carr Designs will process personal data only as necessary to provide services, manage billing, communicate with clients, comply with legal obligations, and protect against fraud or security risks.
8.2 For testing contact forms, Carr Designs may temporarily receive test submissions. Such data will be kept only as long as necessary and then securely deleted in accordance with UK GDPR.
8.3 Essential service communications may be sent where required for delivery of services. Marketing communications will only be sent where consent has been given.
9. General Terms
9.1 Carr Designs reserves the right to update these Terms and Conditions at any time. The latest version published on the website will apply.
9.2 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will remain in full force.
9.3 These Terms and Conditions are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.
